Software License Agreement
Line Count Estimator
Acceptance of Terms. Please
read the following software license terms carefully. If you choose to
download and use the software by clicking the button labeled "ACCEPT" at
the end of this screen, you agree to these terms. If you do not accept
these terms, click "CANCEL" at the end of the screen.
Terms of Use. Licensed
Software" means the line counter modules and utilities created by Reasoning
made available to you to facilitate counting the lines in your source
code to be processed by Reasoning. Reasoning grants you a temporary,
non-exclusive, non-transferable license to use and execute the Licensed
Software for the sole purpose of counting lines in application source
modules. You acknowledge that the Licensed Software produces an approximate
result only and that Reasoning bases the prices for its services on the
actual number of lines processed rather than on the line count estimate
produced by the Licensed Software.
You may make one copy of the Licensed Software for back-up or archival
purposes and one copy of any associated documentation for internal use
only. You agree not to create any source code which is derived from any
of the Licensed Software and not to reverse engineer, copy, alter, merge,
adapt, modify, rent or sublicense the Licensed Software in whole or in
part. You agree to use the Licensed Software only in accordance with
the terms of this Agreement. You agree not to remove, export or re-export
the Licensed Software in violation of U.S. export regulations. Reasoning
may amend this Agreement at any time.
Title. Title
to and ownership of the Licensed Software, and all copies, resides with
Reasoning and its licensors. The Licensed Software is protected by United
States copyright laws and international treaty provisions.
U.S. Government Rights. The
Licensed Software may constitute "commercial computer software" or "commercial
computer software documentation" as those terms are used in 48 CFR 12.212.
Unless otherwise agreed, use, duplication or disclosure of such software
and documentation by U.S. Government civilian agencies is subject to
the restrictions set forth in 48 CFR 52.227-14 (ALT III) and 48 CFR 52.227-19,
and use, duplication or disclosure by DoD is subject to the restrictions
set forth in 48 CFR 227.7202-1(a) and 48 CFR227.7202-3(a) or, if applicable,
48 CFR 252.227-7013(c)(1)(ii) (OCT 1988). Reasoning, Inc. 700 E. El Camino

reserved under the copyright laws of the United States.
Termination. Reasoning
reserves the right to terminate the license for Licensed Software at
any time for any reason, including but not limited to your breach of
the terms of this Agreement. Upon such termination you agree to return
the Licensed Software to Reasoning or to destroy all copies and any accompanying
written materials.
Warranty Disclaimer. The
Licensed Software is provided "AS IS". Reasoning does not warrant the
use, output and/or the results of the Licensed Software. REASONING EXPRESSLY
DISCLAIMS ALL WARRANTIES, EXPRESS OR IMPLIED, IN RELATION TO THE LICENSED
SOFTWARE, INCLUDING ANY WARRANTY OF MERCHANTABILITY, FITNESS FOR A PARTICULAR
PURPOSE, OR NONINFRINGEMENT OF THIRD PARTY RIGHTS.
Limitation of Liability. REASONING
WILL NOT BE LIABLE FOR ANY INCIDENTAL, CONSEQUENTIAL, PUNITIVE OR SPECIAL
DAMAGES ARISING OUT OF OR RELATING TO THIS AGREEMENT WHETHER LIABILITY
IS ASSERTED IN CONTRACT OR TORT (INCLUDING NEGLIGENCE AND STRICT PRODUCT
LIABILITY), AND IRRESPECTIVE OF WHETHER REASONING HAS BEEN ADVISED OF
THE POSSIBILITY OF ANY SUCH LOSS OR DAMAGE.
Governing Law. This
Agreement is governed by the laws of the State of California, except
its law with respect to choice of law.
